Authorization procedure and Trade Register aspects for CAEN 8001
To register the main activity object 8001 with the Trade Register (ONRC), you must submit the registration application accompanied by the authorization issued by the General Inspectorate of the Romanian Police (IGPR) – Directorate for Fraud Investigation and Private Security Activities. Without this approval, the Trade Register rejects the file. The constitutive act must clearly specify that the company carries out private investigation, security or protection activities. According to Law 333/2003, a bank guarantee of at least 10,000 lei for each armed employee is mandatory. When submitting the file, attach an affidavit under Law 359/2004 that there are no legal prohibitions for the administrators.
Regulatory framework, specific approvals and control institutions
The main normative act is Law 333/2003 on the protection of persons and property, republished, plus the Implementing Rules approved by Government Decision 1317/2008. The registered office must meet minimum space and security conditions, verified by the police. For personnel, each employee must hold a certificate of completion of professional training courses in the field of private security, approved by IGPR. Possession of weapons requires authorization from the National Authority for Personnel Protection (ANPS). The control institutions are: the Romanian Police (periodic checks), the Tax Authority (ANAF) (fiscal aspects) and the Labor Inspectorate (ITM) (working conditions).
Fiscal management, ANAF audit risk and specific accounting
Income from security and investigation services falls under income from service provision, treated as independent activities. VAT applies at the standard rate (19%) – if turnover exceeds the threshold of 300,000 lei/year, registration for VAT purposes is required. An electronic invoice must be issued through the RO e-Factura system for all B2B operations. Profit tax is calculated quarterly. Major ANAF audit risk: salary expenses and subsidies – most companies have numerous employees and discrepancies may arise between declared and paid amounts. Also, control over the legality of subcontracting contracts is frequent. Strict recording of working hours and time sheets is recommended, along with keeping supporting documents for equipment (cars, security gear). The fiscal vector must be correctly declared upon opening, and the single declaration is submitted annually for associations without legal personality.
