For the registration of hydrotechnical construction activities (CAEN 4291) with the Trade Register (ONRC), the standard procedure for setting up a legal entity (LLC, SA, etc.) or registration as a sole trader/authorized individual must be followed. When submitting the application, the main object of activity shall be specified as CAEN code 4291. According to Law 359/2004, no prior approval is required for this class, but a sworn declaration regarding the fulfillment of legal conditions is submitted. For sole traders, the single declaration is completed with the Tax Authority (ANAF), and the fiscal vector must be updated within 30 days of registration. CAEN 4291 covers the construction of dams, dykes, irrigation canals, drainage systems and other hydrotechnical works. The activity is strictly regulated by the Water Law 107/1996, as amended, and by Law 50/1991 on the authorization of construction works. For any work, obtaining a building permit from the municipality is mandatory, issued based on a technical project endorsed by the National Administration Romanian Waters (ANAR). Also, permits are required from the Environmental Guard (for impact assessment), the Ministry of Environment (if applicable), and the State Inspectorate in Construction (ISC) for the reception of works. For works involving irrigation systems, the permit from the National Agency for Land Improvements (ANIF) is added. Control and sanctions are applied by ISC and Romanian Waters.

Fiscal management, ANAF audit risk and specific accounting

From a fiscal point of view, CAEN 4291 falls under construction activities, with corporate income tax of 16% or income tax (micro-enterprise) if conditions are met. Registration in the RO e-Factura system is mandatory for invoices issued between professionals. VAT applies at the standard rate of 19%, but reverse charge cases may arise for subcontractors (according to the Fiscal Code, art. 331). Cost accounting must track project costs separately, with records of materials, labor and equipment. There is an increased risk of ANAF audit for high-value contracts, especially when subcontractors are used. It is recommended to keep supporting documents for at least 10 years (due to the statute of limitations for construction-related disputes). Expenses for permits, design and insurance are deductible, and depreciation of specific equipment is made according to the fixed assets catalogue. Non-compliance with water legislation may attract fines of up to 100,000 lei and suspension of activity.
